Ever‑Green Tree Care, Inc. (“Ever‑Green,” “we,” “us” or “our”) owns and operates the website at https://evergreentlc.com (the “Site”). Ever‑Green provides a range of arboricultural services, including tree and shrub pruning, trimming and maintenance, insect and disease control, brush mulching, stump grinding and view‑improvement services. We have been locally owned since 1986 and are certified members of the International Society of Arboriculture (ISA). Our crews provide free estimates from ISA‑certified arborists and are licensed, bonded and insured. The Site allows users to learn about these services, schedule consultations and communicate with us.

These Terms of Use (“Terms”) form a legally binding contract between you and Ever‑Green governing your use of the Site and our services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understand and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not access or use the Services.

These Terms contain a binding arbitration provision and a waiver of class‑action rights. Please read the Dispute Resolution section carefully.

Throughout these Terms, the following defined terms have the meanings indicated below. Other capitalized terms defined elsewhere in these Terms have those meanings.

• “Affiliate” means any entity that controls, is controlled by or is under common control with a party, where “control” means the ownership of fifty percent (50 %) or more of the voting securities of an entity.

By submitting a consultation request or otherwise providing us with your number, you authorize Ever‑Green to call you for these purposes.
• “Services” means the Site and any related communication channels (including email, telephone and text messaging) used to provide information about or facilitate our arboricultural services.
• “Text Message Service” means any arrangement under which Ever‑Green sends one or more text messages. Currently, we may use text messages to confirm appointments or provide service updates. Message and data rates may apply.
• “Website” refers to the Site located at https://evergreentlc.com.
• “You” means the individual accessing or using the Services, or the company or other legal entity on whose behalf that individual accesses or uses the Services.

Acknowledgment

By accessing or using the Services, you agree to comply with these Terms and our Privacy Policy. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of a legal entity, you represent that you are authorized to bind that entity.

Opting In

Text Messages

By submitting a consultation request, filling out any form on our Site or otherwise opting in to receive text messages from Ever‑Green, you:

• Authorize us (and any service providers acting on our behalf) to send text messages using automated or manual technology to the phone number you provide. These messages may include appointment confirmations, service updates and information about our arboricultural services. Consent is not a condition of purchasing any services.
• Acknowledge that you are the subscriber for the number provided or that you have the authority to consent on behalf of the subscriber.
• May opt out of receiving text messages at any time by replying “STOP” to any text message. You understand that your opt‑out will not apply to any separate communications channels, such as emails or phone calls.

Outbound Telephone Calls

By providing your phone number to us, you authorize us to call that number (including your wireless number) using autodialer or non‑autodialer technology to verify your information, schedule consultations, provide service updates or discuss our services. Consent is not a condition of purchasing services. You may revoke your consent by notifying us at info@evergreentlc.com or by asking our representative during a call.

Emails

By submitting your email address through the Site or otherwise providing it to us, you authorize us to send you informational and marketing emails. You may unsubscribe from marketing emails by clicking the “unsubscribe” link at the bottom of any email. Please note that we may still send transactional or administrative emails related to your consultations or services.

Opting in to any form of communication is not required to schedule a consultation or purchase services. You may withdraw your consent at any time as described above, but these Terms will still apply to your use of the Services.

About the Services and Opting Out

We reserve the right to modify or discontinue any communication channel at any time without notice. If you choose to opt out of one channel (e.g., text messages), we may still communicate with you via other channels for operational purposes. Promotions

From time to time, we may offer promotional incentives or contests (collectively, “Promotions”). These Promotions may have separate rules that supplement or supersede these Terms. If you participate in a Promotion, please review the applicable rules and our Privacy Policy. If the rules conflict with these Terms, the Promotion rules govern.

The Services and their original content, features and functionality (except content provided by you or other users) are and will remain the exclusive property of Ever‑Green and its licensors. Our trademarks, trade dress and service marks may not be used without our prior written consent.

You may choose to submit comments, suggestions or other feedback regarding the Services. By providing feedback, you grant Ever‑Green a non‑exclusive, perpetual, irrevocable, royalty‑free, worldwide right and license to use, reproduce, modify, sublicense and exploit the feedback for any purpose without restriction.

Links to Other Websites

The Services may contain links to third‑party websites or services that are not owned or controlled by Ever‑Green. We have no control over and assume no responsibility for the content, privacy policies or practices of third‑party sites. You acknowledge and agree that Ever‑Green shall not be liable for any damage or loss caused by or in connection with your use of or reliance on any such content, goods or services available through any third‑party websites or services. We encourage you to read the terms and conditions and privacy policies of any third‑party websites you visit.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we decide to discontinue the Services. Upon termination, your right to use the Services will immediately cease.

Limitation of Liability

To the maximum extent permitted by law, Ever‑Green and its affiliates, officers, employees, agents, suppliers and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content. In no event shall Ever‑Green’s total liability exceed the amount you paid (if any) for the Services or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In those jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non‑infringement or course of performance. Ever‑Green does not warrant that the Services will be uninterrupted, secure or error‑free, that defects will be corrected, or that the Services are free of viruses or other harmful components. Your use of the Services is at your sole risk.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the greatest extent permitted by law.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Your use of the Services may also be subject to other local, state, national or international laws.

Dispute Resolution

Any dispute or claim relating in any way to your use of the Services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules for consumer arbitration. You and Ever‑Green agree to waive the right to a jury trial and to bring or participate in class actions; arbitration shall take place only on an individual basis. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in King County, Washington, or at another mutually agreed location. Payment of filing, administration and arbitrator fees will be governed by AAA rules. Ever‑Green will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines your claims are frivolous. If a claim proceeds in court rather than in arbitration, each party waives any right to a jury trial to the extent permitted by law.

U.S. Legal Compliance

You represent and warrant that (i) you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is held unenforceable or invalid, that provision shall be modified to achieve the objectives of the original provision to the greatest extent permitted by law, and the remaining provisions will remain in full force and effect. Ever‑Green’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Translation Interpretation

These Terms may have been translated into languages other than English. To the extent allowed by law, the English version shall prevail in the event of any conflict or inconsistency.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site and update the “Last updated” date at the top. Changes are effective when posted. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes.
